These Terms and Conditions (“Terms”) apply to https://pwcit.zendesk.com (the “Portal”) — PwC’s instance of the Zendesk platform — and any other subdomain, page, or content operated by PricewaterhouseCoopers LLP (“PwC”, “we”, “us”) that links to these Terms.
The Portal is operated by PricewaterhouseCoopers LLP, a Delaware limited liability partnership, with offices at 300 Madison Avenue, New York, New York 10017.
Certain areas of the Portal or specific features may be subject to additional or different terms. By accessing or using such areas or features, you agree to be bound by any additional terms applicable to them.
Please read these Terms carefully. They contain important information about your legal rights and obligations regarding your use of the Portal, including limitations, exclusions, and indemnities.
By accessing or using the Portal, you signify that you have read, understand, and agree to be bound by these Terms. If you do not agree, you must not use the Portal.
1. Definitions
“Portal” means PwC’s Zendesk instance at https://pwcit.zendesk.com, including all related tools, services, and resources.
“User” means anyone who accesses or uses the Portal, including internal PwC personnel, contractors, clients, and approved third parties.
“Registered User” means a User who has an authorized Zendesk account created by or for PwC.
“Content” means all materials, data, tickets, communications, text, files, documents, and other information available within or submitted to the Portal.
“PwC Parties” collectively refers to PwC LLP, its member firms within the PwC network, and their respective partners, employees, affiliates, licensors, contractors, and agents.
2. Purpose of the Portal
The Portal is intended to support PwC’s technology operations, service management processes, and communication between PwC users, support teams, and administrators.
It may be used for submitting, managing, and tracking support requests, accessing documentation, and engaging with PwC’s IT support services.
The Portal and its content are for informational and operational purposes only. Nothing on the Portal constitutes professional advice or client deliverables unless expressly identified as such.
3. Acceptable Use
You agree to use the Portal only for legitimate business or support purposes related to PwC operations.
You must not:
Upload, transmit, or store unlawful, harmful, or confidential client data without authorization.
Introduce malware, viruses, or any code intended to disrupt or compromise systems.
Use the Portal to harass, threaten, or abuse any individual or entity.
Misrepresent your identity or access any data or feature you are not authorized to use.
Copy, modify, or reproduce any part of the Portal, except as permitted by PwC.
Use automated tools to extract data, perform scraping, or monitor the system without authorization.
PwC reserves the right to suspend or revoke access for violations of these Terms.
4. Registration and Access
Access to pwcit.zendesk.com is restricted to authorized Users.
You are responsible for maintaining the confidentiality of your credentials and for all activity conducted under your account.
If you suspect unauthorized use, you must notify the PwC IT Service Desk immediately.
5. Privacy and Data Protection
Your use of the Portal is subject to PwC’s Privacy Statement and internal data protection policies, including applicable local and global privacy regulations.
Information submitted through the Portal — including ticket data, attachments, and communications — may be stored, analyzed, or monitored by PwC for operational, security, and compliance purposes.
Do not submit personal or client data beyond what is necessary to resolve the issue.
6. Intellectual Property
All Portal content, design, and materials are owned or licensed by PwC or its licensors.
You may use Portal content solely for authorized business and support purposes.
You may not copy, distribute, modify, or create derivative works from any Portal content without PwC’s prior written consent.
All PwC trademarks, trade names, and logos are the property of PwC and may not be used without permission.
7. Submissions and Feedback
By submitting feedback, comments, or suggestions (“Feedback”) via the Portal, you grant PwC a worldwide, royalty-free, perpetual license to use and incorporate such Feedback into PwC systems and processes without restriction or compensation.
You agree not to post or share any material that infringes upon the rights of others or violates any law or PwC policy.
8. Third-Party Services
The Portal is powered by Zendesk, Inc. Use of the Portal may be subject to Zendesk’s own terms and privacy practices, available at https://www.zendesk.com/company/agreements-and-terms.
PwC is not responsible for third-party service performance or availability.
9. Disclaimers and Limitation of Liability
The Portal is provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, PwC and the PwC Parties disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and availability.
PwC does not warrant that the Portal will be error-free, secure, or continuously available.
To the maximum extent permitted by law, PwC and the PwC Parties are not liable for any indirect, incidental, or consequential damages arising from your use or inability to use the Portal.
10. Termination
PwC may, at any time and without notice, suspend, restrict, or terminate your access to the Portal for operational, security, or policy reasons.
11. Amendments
PwC may update these Terms periodically. The latest version will always be available on https://pwcit.zendesk.com.
Continued use of the Portal after an update constitutes acceptance of the revised Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles.
Any dispute related to these Terms or the use of the Portal shall be resolved through confidential arbitration in accordance with the rules of the International Institute for Conflict Prevention and Resolution (CPR).
Each party waives the right to a jury trial and agrees to individual, non-class arbitration.
